Terms of Service — SystemsFarm

1. Agreement

These Terms of Service ("Terms") govern your use of services provided by SystemsFarm (Pty) Ltd ("SystemsFarm", "we", "us"). By engaging our services, you agree to these Terms.

If you are entering into these Terms on behalf of a business, you represent that you have authority to bind that business.

2. Services

SystemsFarm provides AI agent deployment, configuration, and managed services as described in your service agreement or selected pricing plan. The specific deliverables, timelines, and inclusions for your engagement are set out in your onboarding documentation.

3. Subscriptions and payment

Monthly subscriptions are billed on the same calendar date each month
Payment is due within 7 days of invoice
Services may be suspended after 14 days of non-payment
All prices are in South African Rand (ZAR) and exclude VAT where applicable
Price changes are communicated with 30 days notice

4. Cancellation

You may cancel your subscription at any time by providing 30 days written notice to hello@systemsfarm.co.za. No cancellation fee applies. You will not be charged beyond the end of your notice period.

On cancellation, we will provide you with an export of your agent's accumulated knowledge base within 14 days. SystemsFarm retains no copies after 30 days of cancellation, except as required by law.

5. Your responsibilities

You agree to:

Provide accurate information required for agent deployment
Use the agent only for lawful purposes
Not attempt to circumvent usage limits or access controls
Comply with POPIA when using the agent to process personal information of your clients or staff
Not use the agent to generate harmful, deceptive, or illegal content

6. AI-generated content

Your agent uses large language model AI. Outputs are informational and should be reviewed before acting on them. SystemsFarm does not warrant that AI-generated content is free of error, and you remain responsible for decisions made based on agent outputs.

The agent is not a licensed legal, financial, medical, or accounting professional. It provides information to assist qualified practitioners — not to replace professional judgement.

7. Intellectual property

SystemsFarm retains ownership of its platform, software, deployment methodologies, and skill graphs. You retain ownership of your business data, client-specific knowledge base content, and any outputs generated by your agent.

You grant SystemsFarm a limited licence to use your business information solely to provide the services described in your agreement.

8. Service levels and availability

We target 99.5% monthly uptime for all deployed agents. Planned maintenance will be communicated with at least 24 hours notice. Unplanned outages will be investigated and resolved as a priority.

In the event of extended downtime exceeding 24 hours due to SystemsFarm's error, a pro-rated credit will be applied to your next invoice.

9. Limitation of liability

To the maximum extent permitted by South African law, SystemsFarm's liability for any claim arising from these Terms is limited to the fees paid by you in the 3 months preceding the claim.

We are not liable for indirect, incidental, or consequential losses including loss of business, revenue, or data.

10. Confidentiality

Both parties agree to keep confidential any proprietary information shared in connection with the services. This obligation survives termination of the agreement for a period of 3 years.

11. Governing law

These Terms are governed by the laws of South Africa. Any disputes will be subject to the jurisdiction of the South African courts.
